
Overview
David Miller is a partner in the Banking & Finance practice based in Charlotte, advising banks, funds, issuers, borrowers, and other parties on structured finance and asset-backed transactions, asset-backed commercial paper programs, fund finance facilities, and related financial arrangements. David frequently advises clients on securitization and asset-backed lending transactions involving trade receivables (including cross-border transactions), railcars and other equipment, marketplace loans, unsecured consumer and small business credits, as well as various other financial assets. His experience in asset-backed commercial paper programs includes representing sponsoring banks on both ongoing program maintenance and specific conduit-funded deals. His fund finance practice covers advising banks, business development companies, and investment funds on asset-backed lending structures and capital commitment subscription facilities.
Experience
- Advised a prominent Swiss engineering firm on bid qualification processes organized by the Brazilian government for metro system expansion projects.
- Represented China Offshore Oil Engineering Company (COOEC) in negotiating assignment agreements related to the FPSO P-67 and FPSO P-70 construction projects.
- Counseled a Japanese corporation in negotiating an EPC contract for constructing a metro line in São Paulo, Brazil.
- Supported Consortium UFN-III (Sinopec and Galvão Engenharia) in contract negotiations with Petrobras for the UFN-III gas-to-chemicals complex in Brazil.
- Advised Foster Wheeler Energy Limited on a Petrobras contract award for the UFN-IV gas-to-chemicals complex, a project with a projected investment of $1.5 billion in Brazil.
