Overview

Grace Robinson is a Toronto-based corporate lawyer focused on technology-driven capital-markets and M&A transactions. With a background in computer science and law, she advises high-growth companies and investment banks on IPOs, SPAC mergers, cross-border takeovers, and corporate governance under Canadian and U.S. securities laws. Recognised by Chambers Canada as an “Up and Coming” individual, Grace frequently speaks on ESG disclosure and women in tech finance, and she sits on the advisory board of the Canadian Venture Capital & Private Equity Association. Before joining Maple & Northern LLP, she completed a secondment with Shopify’s legal team.

Experience

  • Advising Shopify Inc. on its US$1.5 billion senior convertible notes offering, acting for the underwriters led by Goldman Sachs and RBC Capital Markets.
  • Counsel to Lightspeed Commerce on its US$500 million acquisitions of Ecwid and NuORDER to expand its omnichannel retail platform.
  • Represented Brookfield Renewable in forming a C$2 billion joint venture with Amazon to develop utility-scale solar projects across North America.
  • Advised Wealthsimple on its C$750 million Series F financing led by Meritech and Greylock, valuing the fintech at C$5 billion.
  • Acted for a syndicate of banks as lead underwriters on the C$400 million TSX IPO of ReGeneRx, a Quebec-based biotech company.
  • Advised Nuvei Corporation on its cross-border dual listing on NASDAQ and TSX, including the accompanying US$700 million secondary offering.
